7. Delivery and Carryout Services

You are responsible for providing accurate delivery information, including the correct address, unit number, and contact details. Round Table Pizza is not responsible for failed deliveries resulting from incorrect or incomplete information provided by the customer.

For carryout orders, you agree to collect your order within a reasonable time after receiving notification that your order is ready. Round Table Pizza is not responsible for any deterioration in food quality resulting from delayed collection.

• WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE.

Round Table Pizza does not warrant that the Site will meet your requirements, that any errors will be corrected, or that the results of using the Site will be accurate or reliable. Your use of the Site and Services is entirely at your own risk.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our warranties will be limited to the minimum extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION LAWS, ROUND TABLE PIZZA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

IN NO EVENT SHALL ROUND TABLE PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ROUND TABLE PIZZA IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

This limitation of liability applies regardless of the form of action, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if Round Table Pizza has been advised of the possibility of such damages.

Some states do not allow the limitation of certain types of damages, so the above limitations may not fully apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Pizza and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.

• Your violation of any third party's rights, including intellectual property rights, privacy rights, or proprietary rights.

To the extent that any dispute is not resolved through the arbitration process described in Section 15, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the applicable United States jurisdiction. You hereby waive any objection to the laying of venue of any such proceeding in such courts and waive any claim that such proceeding has been brought in an inconvenient forum.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting Round Table Pizza at [email protected]. We will make reasonable efforts to resolve your complaint within thirty (30) days of receiving your notice. If the dispute is not resolved informally within this period, either party may proceed to binding arbitration as described below.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU TO RESOLVE MOST DISPUTES THROUGH BINDING ARBITRATION RATHER THAN IN COURT.

Any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Site and Services that cannot be resolved informally shall be settled by binding arbitration administered by a recognized arbitration organization (such as the American Arbitration Association, "AAA") in accordance with its then-current Consumer Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding on both parties.

The arbitration shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding. YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.3 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to address other matters that require immediate judicial intervention. Additionally, disputes involving claims of less than the small claims court threshold may be brought in the appropriate small claims court.

15.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ROUND TABLE PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. Round Table Pizza may, at its sole discretion and without prior notice, terminate or suspend your access to the Site and Services, including your account, for any reason, including but not limited to:

• Violation of any provision of these Terms.
• Fraudulent, abusive, or illegal activities.

• Extended periods of inactivity on your account.
• Requests from law enforcement or other government agencies.

Round Table Pizza shall not be liable for any delay or failure in performance of any obligation under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, power outages, internet outages, supply chain disruptions, or other unforeseen events. We will make reasonable efforts to resume performance as soon as practicable under the circumstances.

By using the Site or registering for an account, you consent to receive electronic communications from Round Table Pizza, including but not limited to order confirmations, account notifications, promotional emails, and updates regarding changes to our Terms or policies.
